Rules of the Sale of Goods and Services

This document represents mandatory terms and conditions, to use the Service by Global Rus Trade LLC (hereinafter, the Right Holder) to sell goods and services to Buyers.

1. Terms and Definitions

1.1. The following terms and definitions shall be used in this document and in the relations arising from or related to it:

1.1.1. Rules: the text of this document with all annexes, amendments and supplements as posted on the Website and available on the Internet at https://globalrustrade.com/info/rules-of-selling-goods-and-services/.

1.1.2. Seller: a User who has passed the registration procedure on the Website in the status of “Company” and uses, used or intends to use the functionalities of the Website and/or the Service provided on its basis to search for Buyers in order to enter into a Transaction with them.

1.1.3. Buyer: a User who has passed the registration procedure on the Website and uses, used or intends to use the functionalities of the Website and/or the Service provided on its basis to select and purchase goods and/or services. The Buyer can be a User registered with the status “Company”.

1.1.4. Goods: goods, services, of which the Seller shall post (intends to post) information in the Service.

1.1.5. Transaction: a contract signed between the Buyer and the Seller, the subject of which is the sale of goods and/or services by the Seller to the Buyer.

1.1.6. В2С: section of the Service for individual Buyers.

1.2. These Rules may contain terms and definitions that are not defined in paragraph 1.1 of the Rules. In this case, the interpretation of such term shall be made in accordance with the text of the Rules. In the absence of an unambiguous interpretation of the term or definition in the text of the Rules, its interpretation should be guided by the following: firstly, the User Agreement and the Mandatory Documents specified in it; secondly, the legislation of the Russian Federation; and subsequently, the customs of business practice and scientific doctrine.

2. General Provisions

2.1. These Rules shall be a constituent and integral part of the User Agreement posted and/or available on the Internet at https://globalrustrade.com/info/terms-of-use/(hereinafter, the Agreement) and the Rules of provision of informational services posted and/or available on the Internet at https://globalrustrade.com/info/rules-of-providing-information-services/.

2.2. Information on the Goods may be posted and other functional capabilities of the Service may be used to sell goods and services of Buyers, subject to the proper state registration of the Seller and submission of supporting documents to the Right Holder.

2.3. Information on the Goods may be posted in В2С provided that the Seller ensures acceptance of payments from individuals and delivery of goods (entering into contracts with payment services and delivery services).

2.4. The Seller acknowledges and agrees that any information and materials on the Goods posted in the Service may be used by the Right Holder to promote the Service and, inter alia, be distributed within advertising and information materials of the Right Holder.

3. Requirements to information of the Goods

3.1. Provision of full and reliable information on the Goods shall be the precondition for its placement in the Service. If the Seller provides incomplete or unreliable information or provides it with violation of these Rules, other contracts entered into with the Right Holder or applicable law, the Right Holder may not perform or suspend posting of information on the Goods.

3.2. Information on the Goods must specify the following data (where applicable):

3.2.1. properties of the goods or service;

3.2.2. place of manufacture of the goods or place of provision of the service;

3.2.3. terms and conditions of purchase;

3.2.4. unit of measure, price and total value;

3.2.5. possible methods and procedure for payment;

3.2.6. goods’ delivery terms and conditions;

3.2.7. expiry date of the goods;

3.2.8. service life;

3.2.9. warranty period;

3.2.10. weight;

3.2.11. dimensions.

3.3. Information on the Goods posted in В2С, must include information provided for by the applicable legislation on protection of consumer rights, including rules of sale of individual types of goods and rules of remote sale of goods.

3.4. Information on the Goods shall not contain profane language, insults, false information, intermediation offers, extremist expressions, calls for violence, threats, shall not contain information compromises, insults, discredits honor and dignity or goodwill or invades privacy of other Users and third parties, requests for financial aid, shall not advertise websites and services, contain information on cruelty to animals, incitement to suicide, promulgate incitement to racial, religious, ethnic hatred or hostility, and also contain other information that may infringe rights and legitimate interests of other Users or third parties.

3.5. It is prohibited to post information about the following types of the Goods:

3.5.1. goods violating third-party copyright;

3.5.2. counterfeit, falsified goods or services (including replicas);

3.5.3. porn images and/or insulting images, including acts of cruelty;

3.5.4. poisons, narcotic drugs and psychotropic substances, steroids, drugs, other products that pose a hazard to health of consumers, appliances for consumption thereof and delivery beyond the Russian Federation;

3.5.5. drugs (other than medicinal herbs), crude drugs received from Northern deer breeding (velvet antlers and endocrine glandular stuff);

3.5.6. gambling (including payment for casino chips, gambling services, online casinos), lotteries, bookmaker’s services;

3.5.7. firearms and its spare parts, cold weapon, explosives;

3.5.8. ciphering equipment and regulatory and technical documents for its production and use;

3.5.9. special hardware intended for surreptitious obtaining of information, regulatory and technical documents for its production and use;

3.5.10. waste of radioactive materials, explosives and waste containing precious and rare-earth metals and precious stones;

3.5.11. x-ray equipment, devices and equipment using radioactive substances and isotopes;

3.5.12. strategic materials, weapon, its ammunition, military equipment, spare parts, components and devices thereto, explosives, demolition materials, powders, all types of missile fuel, and also special materials and special equipment for their production, special gear for personnel of paramilitary organizations and regulatory-and-technical products for production and operation thereof, rocket and space systems, military communication and control systems and regulatory-and-technical documentation for production and operation thereof, chemical warfare agents, equipment for protection against them and regulatory-and-technical products for production and operation thereof, uranium, other fissile materials and articles made thereof, results of research and design works, and also fundamental exploratory studies to create weapon and military equipment.

3.6. It is also prohibited to post information about the following Goods in section B2C:

3.6.1. dietary supplements;

3.6.2. tobacco products;

3.6.3. alcohol, ethyl alcohol;

3.6.4. jewelry and other articles made of precious metals and/or precious stones, i.e. articles made of precious metals and alloys thereof, including made using various types of finishing, with insets made of precious stones, other materials of natural or artificial origin or without them, or articles made of materials of natural or artificial origin using various types of finishing, with insets of precious stones, icons, silver-plated souvenirs and utensils (gold), manufactured using cladding and electroplating technology;

3.6.5. other goods or services of which free sale is prohibited or limited by the legislation of the Russian Federation or legislation of the country of the Seller’s location.

3.7. The Right Holder may at any time demand from the Seller to provide additional information or documents supporting information on the Goods and/or legitimacy of the Seller’s activities regarding its sale, and also suspend or limit posting of information on the Goods until the requested documents and information are provided.

4. Seller’s obligations:

4.1. The Seller shall:

4.1.1. Check information on the Goods before posting in the Service for compliance with these Rules and applicable legislation;

4.1.2. Post information on the Goods in accordance with these Rules;

4.1.3. Provide the Right Holder full and reliable information on the Goods and the Seller within Two (2) business days since the receipt of the respective request from the Right Holder;

4.1.4. At the request of the Right Holder, within Three (3) business days, submit documents and licenses (duly certified copies), confirming legitimacy of the Seller’s activities to sell the Goods;

4.1.5. Provide up-to-date information on the Goods;

4.1.6. Suspend posting of information on the Goods that cannot be sold by the Seller within the declared time frame for any reasons;

4.1.7. Duly formalize sale of the Goods under Transactions, including executing and sending to the Buyer cash register receipts in the cases stipulated by the legislation;

4.1.8. Duly perform its obligations under the Transaction made with the Buyer;

4.1.9. Faithfully consider claims of Buyers regarding performance of the Transaction and issue a refund to the Buyer in case of improper performance of the Transaction by the Seller;

4.1.10. Check for notices of the Right Holder on the Website (including in the Personal Account) and by the email specified when using the Service;

4.1.11. Notify the Right Holder and inform the Right Holder that the Seller is providing incentives for leaving feedback in the Service using remunerations in any form;

4.1.12. Perform other duties and observe the requirements provided for by these Rules, the Agreement, including the Mandatory Documents, and by the applicable legislation.

5. Guarantees and Liability

5.1. The Seller warrants that:

5.1.1. The information provided to the Right Holder and posted in the Service is true;

5.1.2. The Seller has received all necessary licenses and other permits of authorized state bodies for performance of his activities or that, in accordance with the applicable legislation, the Seller’s activities does not require any special permit/license/certificate and has also performed all other actions as required by the applicable legislation for the Seller’s activities;

5.1.3. The Seller realizes and accepts that the Buyer may refuse to perform the Transaction due to various circumstances, including because of claims to the Seller’s Goods or the Seller’s bad faith. The Right Holder shall not be liable for the Buyer’s refusal of the Transaction or its undue performance by the Buyer.

5.2. If use of the Service by the Seller entails raising of claims, lawsuits and/or writs on reimbursement of losses (payment of compensations) against the Right Holder by the third parties and/or government authorities or initiation of an administrative offence case, the Seller undertakes immediately, at the Right Holder’s request, provide the latter with all requested information regarding the dispute subject and assist the Right Holder in settlement of such claims and reimburse all losses (including legal expenses, penalty expenses) caused to the Contractor by submission, consideration and satisfaction of such claims, lawsuits, writs, and also instituting administrative action for violation of third-party rights and/or the current legislation.

5.3. The Right Holder shall not be liable for any losses of the Seller, regardless of whether the Right Holder could foresee the possibility of such losses, including when the Right Holder was informed on the potential occurrence of the losses.

6. Final Provisions

6.1. These Rules shall come into effect upon their posting on the Website and shall be effective until cancelled by the Right Holder.

6.2. The Right Holder reserves the right to amend terms and conditions of these Rules and/or cancel the Rules at any time at its discretion. The information on amendment or revocation of the Rules shall be communicated to the Seller at the Right Holder’s option through posting on the Website, in the Seller’s Personal Account or through sending the respective notice to email address specified by the Seller when using the Service.

6.3. In case of revocation of the Rules or amendment of the Rules, the latter shall come into effect since notification of the Seller thereon, unless another effective date is specified by the Rules or additionally when giving such message.

6.4. In case of one or several provisions of the Rules are invalid or ineffective, such invalidity shall not affect the validity of any other provision of the Rules that remain effective.
